Terms of Service

Important: Climateshed Action produces modeled emissions estimates, not measurements, predictions, or professional advice. All outputs must be independently verified before being relied upon for any purpose. See the Disclaimer.

1. Acceptance of terms

By accessing or using Climateshed Action (the “Service”) you (“User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Nature of the Service

Climateshed Action is a sensitivity-analysis tool that estimates how much selected local climate actions could change a California jurisdiction’s greenhouse-gas emissions, starting from a measured inventory baseline and applying published response coefficients. It is provided for general planning, educational, and research purposes only.

The Service does not provide:

Professional, legal, regulatory, engineering, or scientific advice
Official guidance, inventories, or determinations from any government agency
Site-specific assessments or a Climate Action Plan of record
Investment, insurance, or financial advice

Nothing produced by the Service is a substitute for consultation with a qualified professional or for review of the primary sources.

3. Modeling disclaimer

Results are scenario estimates expressed as low-to-high ranges reflecting coefficient and implementation uncertainty. They are not forecasts, confidence intervals, or guarantees. The Service may produce inaccurate or incomplete results, may not reflect the most current data or regulations, and simplifies real-world dynamics. You are solely responsible for independently verifying any result before acting on it. See the Disclaimer.

4. Accounts and access

Some jurisdictions are open to everyone; others require an account and an access grant. Accounts use one-time email codes (OTP); you are responsible for the security of the email account you use to sign in and for activity under your account. Access grants are personal and non-transferable, and we may grant, limit, or revoke access at our discretion. Where paid plans are offered, applicable pricing and billing terms will be presented at the time of purchase and form part of these Terms.

5. No warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any result will be accurate or reliable.

6. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLIMATESHED ACTION AND ITS OWNERS, OPERATORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:

Reliance on any modeled estimate, range, or cited value
Decisions, plans, or claims made based on Service outputs
Loss of data, revenue, profits, or business opportunities
Service interruptions or errors

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) FIFTY DOLLARS (USD $50).

7. Indemnification

You agree to defend, indemnify, and hold harmless Climateshed Action and its owners, operators, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Service, your reliance on any output, any decisions or claims you make based on outputs, your violation of these Terms, or your violation of any applicable law or third-party right.

8. Acceptable use

You agree not to use the Service to:

Attempt to circumvent access grants, quotas, or security controls
Scrape, resell, or redistribute gated data or Service outputs without authorization
Interfere with or disrupt the Service or its infrastructure
Represent outputs as an official government inventory, determination, or guidance

9. Intellectual property

The Service, its interface, and its compilation of coefficients are proprietary; see the License for what you may do with the tool and with the scenario files you export. Underlying public data (including the CA GHG Inventory and ARB/Salon VMT Impact Tool) remains the property of its respective sources and must be attributed accordingly. “Climateshed” and related branding are our marks. If you believe content made available through the Service infringes your rights, notify us at feedback@climateshed.app and we will review promptly.

10. Data and privacy

Our handling of personal data is described in the Privacy Policy. Your scenario inputs are computed in your browser and are not transmitted to or stored by us. We do not sell your personal data.

11. Modifications

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in California.

13. Complaints

To raise a complaint about the Service, data handling, or content, email feedback@climateshed.app with a description of the issue, the email associated with your account, relevant dates, and any supporting screenshots. We acknowledge complaints promptly, investigate, and provide a substantive response within a reasonable timeframe.
